These terms and conditions ("Terms") govern the provision of services by GenomicOps ("Service Provider") to the customer named in the order confirmation ("Customer").

Services

Service Provider agrees to provide the services described in the Order Confirmation ("Services") in accordance with these Terms.

Performance Dates

Service Provider will make reasonable efforts to meet performance dates listed in the Order Confirmation. All dates are estimates and not guaranteed.

Customer’s Obligations

Customer shall respond promptly to Service Provider requests for direction, provide necessary materials, and ensure accuracy of the provided information.

Customer Indemnity

Customer agrees to indemnify Service Provider from any claims or damages arising from Customer’s breach of these Terms.

Customer’s Acts or Omissions

Service Provider is not liable for delays or failures caused by Customer’s actions or omissions.

Change Orders

Any request to change the scope or performance of services must be submitted in writing. Both parties must agree to additional costs before changes take effect.

Fees, Expenses, and Payment Terms

Customer agrees to pay fees as outlined in the Order Confirmation. Late payments may incur interest as per the terms specified.

Taxes

Customer is responsible for any applicable taxes or fees imposed by authorities.

Intellectual Property

All intellectual property created during service provision remains with Service Provider.

Confidentiality

Customer agrees to maintain the confidentiality of all non-public, proprietary information from Service Provider.

Service Provider’s Warranty

Service Provider warrants that services will be professionally performed according to industry standards.

Limitation of Liability

Service Provider’s liability is limited to two times the total fees paid by Customer under this Agreement.

Termination

Service Provider may terminate this Agreement if Customer fails to comply with these Terms.

Governing Law

This Agreement is governed by the laws of [Your Jurisdiction], and disputes will be resolved in its courts.

Notices

All notices must be delivered via email, certified mail, or courier.

Waiver

Failure to exercise or delay in exercising any right or remedy under this Agreement does not constitute a waiver of that right or remedy.

Force Majeure

Neither party is liable for delays or failures due to events beyond their control, such as natural disasters or other acts of God.

Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in effect.

Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.

Amendment

Any modifications to this Agreement must be in writing and signed by both parties.
